Regulation S-K was also modernized in 2020, and now includes a new section on human capital. A public company is required to disclose the number of employees and a description of its human capital resources, if “material” to the business. The rules do not include a definition of “human capital” or clarification of the required items, leaving companies and their outside advisors tasked with reading between the lines.

On top of that, the human capital disclosure requirements are expected to grow, with two SEC Commissioners already pushing the SEC to enhance existing reporting requirements.
