{"id":6870,"date":"2022-09-26T19:30:17","date_gmt":"2022-09-26T19:30:17","guid":{"rendered":"https:\/\/www.americanconference.com\/fcpa-dc\/?page_id=6870"},"modified":"2023-01-19T16:55:46","modified_gmt":"2023-01-19T16:55:46","slug":"merging-esg-risks-into-an-anticorruption-compliance-program","status":"publish","type":"page","link":"https:\/\/www.americanconference.com\/fcpa-dc\/aci-insights\/merging-esg-risks-into-an-anticorruption-compliance-program\/","title":{"rendered":"Merging ESG Risks into an Anticorruption Compliance Program"},"content":{"rendered":"<div class=\"article-meta\">\r\n  <p class=\"author\">By Jaclyn Jaeger<\/p>\r\n  <p class=\"date\">Monday, September 26, 2022<\/p>\r\n<\/div>\r\n\r\n<p>As pressure from internal and external stakeholders intensifies over environmental, social and governance (ESG) risks, companies that champion ESG issues best and integrate them into the <span style=\"white-space: nowrap;\">enterprise-wide<\/span> <span style=\"white-space: nowrap;\">anti-corruption<\/span> compliance program are more likely to sustain a successful ESG program in the <span style=\"white-space: nowrap;\">long-term<\/span>. Yet, most still struggle to achieve this laudable goal effectively.<\/p>\r\n\r\n<p>To take a deep dive into where companies stand today on the maturity scale of ESG programs and what common gaps still need to be addressed in the oversight of ESG risks, Coleman Parkes Research recently conducted a survey, \u201cNavigating Deep Waters,\u201d on behalf of law firm Hogan Lovells that polled 600 legal and compliance executives at large multinational companies across the United&nbsp;States, Europe, Asia, and Brazil.<\/p>\r\n\r\n<p>According to the findings, just 42&nbsp;percent of respondents described their company\u2019s ESG program as \u201cmature,\u201d defined as a program that has ESG ownership assigned outside of leadership, an ESG culture fully embedded throughout the business, and in which ESG considerations are fully implemented into strategic and operational <span style=\"white-space: nowrap;\">decision-making<\/span>.<\/p>\r\n\r\n<p>Other key findings from the Hogan Lovells survey revealed that 82&nbsp;percent of respondents said ESG was not embedded into their existing risk practices; 78&nbsp;percent noted there still exists a lack of ESG knowledge and skills; and 57&nbsp;percent cited lack of engagement.<\/p>\r\n\r\n<p>Collectively, the survey findings highlighted that, for many large multinational companies, achieving a truly mature ESG program requires greater companywide engagement; a clearer understanding of ESG risks; and enhanced vigilance over both corruption and ESG risks posed by third parties across the global supply chain.<\/p>\r\n\r\n<p>While there are many companies that have a mature ESG program against which other companies can benchmark their own practices, William Semins, a partner at K&#038;L Gates, cautioned against integrating one company\u2019s mature ESG program into your own and expecting it to work. \u201cAny successful program has to reflect the company\u2019s core values, backed by senior management and stakeholders,\u201d Semins told ACI Insights.<\/p>\r\n\r\n<p>For all companies on the journey of creating a <span style=\"white-space: nowrap;\">best-in-class<\/span> ESG compliance program, consider the following best practices:<\/p>\r\n\r\n<p><strong>Start at the board and <span style=\"white-space: nowrap;\">C-suite<\/span> level.<\/strong> While it might sound clich\u00e9, embedding ESG culture into the global enterprise begins with tone at the top. \u201cIf the board of directors and senior management don\u2019t understand or value ESG and don\u2019t do a good job of communicating its importance to the organization from top to bottom, skepticism&mdash;if not downright cynicism&mdash;can prevail, and this will have adverse impacts on the development of a viable ESG culture,\u201d Semins stressed.<\/p>\r\n\r\n<p><strong>Establish a <span style=\"white-space: nowrap;\">cross-functional<\/span> working group.<\/strong> Beyond <span style=\"white-space: nowrap;\">buy-in<\/span> from the board and senior leaders, operationalizing a commitment to ESG compliance also requires a <span style=\"white-space: nowrap;\">cross-functional<\/span> working group \u201cto develop consensus on appropriate ESG goals and metrics for testing progress toward those expressed goals,\u201d Semins added. This working group should be comprised of members from legal, compliance, HR, marketing, sustainability, and the business to ensure all key internal stakeholders have a voice and are aligned in the development of a practical and <span style=\"white-space: nowrap;\">long-term<\/span> ESG approach.<\/p>\r\n\r\n<p>To truly have meaningful dialogue, Semins said the working group should be prepared to discuss and understand the company\u2019s values and goals relative to ESG; how those goals are reflected in the organizational and operational structure; how they can be improved over time to reflect the company\u2019s aspirations; and where the company stands on certain issues relative to its competitors.<\/p>\r\n\r\n<!--<a href=\"\/fcpa-dc\/?utm_medium=display&utm_source=aci%20insights&utm_campaign=F22_awareness\" target=\"_blank\" style=\"display: block; width: fit-content; margin: 0 auto 36px;\" rel=\"noopener\"><img loading=\"lazy\" decoding=\"async\" src=\"\/wp-content\/uploads\/2022\/07\/Ad_Banner_700L23_general_728x90.jpg\" alt=\"39th International Conference on the FCPA - Foreign Corrupt Practices Act | November 30-December 1, 2022 - Washington, DC | RESERVE YOUR SEAT |\" width=\"728\" height=\"90\" class=\"ad-col-sm\"><img loading=\"lazy\" decoding=\"async\" src=\"\/wp-content\/uploads\/2022\/07\/Ad_Banner_700L23_general_300x250.jpg\" alt=\"39th International Conference on the FCPA - Foreign Corrupt Practices Act | November 30-December 1, 2022 - Washington, DC | RESERVE YOUR SEAT |\" width=\"300\" height=\"250\" class=\"ad-col-xs\"><\/a>-->\r\n\r\n<a href=\"\/conferences\/anti-corruption-fcpa\/?utm_medium=display&#038;utm_source=aci%20insights&#038;utm_campaign=F23_awareness\" target=\"_blank\" style=\"display: block; width: fit-content; margin: 0 auto 36px;\" rel=\"noopener\"><img loading=\"lazy\" decoding=\"async\" src=\"\/wp-content\/uploads\/sites\/2080\/2023\/01\/ACportfolio_728x90_learnMore.png\" alt=\"Anti-Corruption | FCPA Global Series\" width=\"728\" height=\"90\" class=\"ad-col-sm\"><\/a>\r\n\r\n<p><strong>Use <span style=\"white-space: nowrap;\">anti-corruption<\/span> compliance as a framework for ESG risk management.<\/strong> According to the findings in the Hogan Lovells survey, 62&nbsp;percent of respondents indicated that they lack an understanding in the linkage between bribery and corruption risks and ESG abuses. That finding is concerning, because it points to a serious gap in ESG compliance programs.<\/p>\r\n\r\n<p>An <span style=\"white-space: nowrap;\">anti-bribery<\/span>\/<span style=\"white-space: nowrap;\">anti-corruption<\/span> (AB\/AC) compliance program and ESG risk management \u201care inextricably linked, and companies do not need to&mdash;and should not&mdash;prioritize one to the detriment of the other,\u201d Stephanie Yonekura, global head of Hogan Lovells Investigations, <span style=\"white-space: nowrap;\">White-Collar<\/span> and Fraud practice (IWCF), stated in a <a href=\"https:\/\/www.hoganlovells.com\/en\/news\/companies-wanting-to-prioritize-esg-compliance-face-headwinds--integrating-esg-into-their-compliance-programs\" target=\"_blank\" rel=\"noopener noreferrer\">press release<\/a> discussing the survey findings.<\/p>\r\n\r\n<p>Crispin Rapinet, an IWCF partner in London, similarly stressed, \u201cEffective ESG compliance implementation requires full alignment with an effective <span style=\"white-space: nowrap;\">anti-bribery<\/span> and corruption strategy. Companies with strong <span style=\"white-space: nowrap;\">anti-bribery<\/span> and corruption policies and controls have a strong framework on which to build the governance limb on an ESG program.\u201d<\/p>\r\n\r\n<p><strong>Map out the supply chain.<\/strong> The Hogan Lovells survey additionally found that only 29&nbsp;percent of respondents reported concerns about ESG risks posed by third parties, which is another concerning finding, particularly as it pertains to <span style=\"white-space: nowrap;\">human-rights<\/span> related risks&mdash;the \u201cS\u201d in ESG.<\/p>\r\n\r\n<p>As with bribery and corruption risks, mitigating ESG risks in the global supply chain starts with understanding where and with whom the company is doing business and leveraging those <span style=\"white-space: nowrap;\">third-party<\/span> relationships \u201cto develop more upstream data through more robust contract provisions, including cascading standards and due diligence requirements, to set the standards and fill in the gaps,\u201d Semins said.<\/p>\r\n\r\n<p>With those mechanisms in place&mdash;and data coming in as a secondary measure&mdash;the business can then begin to focus on verifying the information and responding to red flags, Semins added.<\/p>\r\n\r\n<p>Supply chain mapping is also a beneficial exercise in the context of mitigating <span style=\"white-space: nowrap;\">human-rights<\/span> risks. \u201cOnce suppliers are identified, targeted review of current labor conditions and practices can be scoped and prioritized in a manner proportionate to other identified risk factors,\u201d Semins noted. Where certain information from the lower tiers of the supply chain may be unavailable, enhanced, <span style=\"white-space: nowrap;\">risk-based<\/span> due diligence and\/or other remedial activities may be needed.<\/p>\r\n\r\n<p>Even with mature ESG programs, blind spots are unavoidable. \u201cFor example, getting reliable data from certain <span style=\"white-space: nowrap;\">China-based<\/span> suppliers in certain regions right now is highly problematic, but it\u2019s important to be able to identify those blind spots and take it as far as you can go to get the necessary assurances that your supplies, including component parts and raw materials, are not produced with forced labor or child labor,\u201d Semins said.<\/p>\r\n\r\n<p>Companies that are seeking to continually improve their ESG risk management efforts, particularly as it relates to the potential <span style=\"white-space: nowrap;\">human-rights\u2019<\/span> risks that their suppliers pose, have several helpful resources to which they can turn. These resources include, but are not limited to:<\/p>\r\n\r\n<ul style=\"margin-top: -4px;\">\r\n  <li><a href=\"https:\/\/www.state.gov\/wp-content\/uploads\/2021\/09\/TIPR-GPA-upload-07222021.pdf\" target=\"_blank\" rel=\"noopener noreferrer\">U.S. State Department\u2019s Trafficking in Persons Report<\/a>;<\/li>\r\n  <li><a href=\"https:\/\/www.state.gov\/reports\/2020-country-reports-on-human-rights-practices\/\" target=\"_blank\" rel=\"noopener noreferrer\">State Department country reports on Human Rights Practices<\/a>;<\/li>\r\n  <li><a href=\"https:\/\/www.dol.gov\/sites\/dolgov\/files\/ILAB\/ListofGoodsBibliography2021.pdf\" target=\"_blank\" rel=\"noopener noreferrer\">Bureau of International Labor Affairs Forced Labor List<\/a>;<\/li>\r\n  <li><a href=\"https:\/\/www.globalslaveryindex.org\/\" target=\"_blank\" rel=\"noopener noreferrer\">Global Slavery Index<\/a>;<\/li>\r\n  <li><a href=\"https:\/\/www.amnesty.org\/en\/countries\/\" target=\"_blank\" rel=\"noopener noreferrer\">Amnesty International\u2019s country reports<\/a>; and<\/li>\r\n  <li><a href=\"https:\/\/www.hrw.org\/countries\" target=\"_blank\" rel=\"noopener noreferrer\">Human Rights Watch country overviews<\/a>.<\/li>\r\n<\/ul>\r\n\r\n<p>Finally, it\u2019s important to keep in mind that a truly mature ESG program is an evolutionary process, not a <span style=\"white-space: nowrap;\">check-the-box<\/span> exercise: \u201cIncremental progress is okay,\u201d Semins said.
